Our client, a Financial Services Consulting Group in Cyprus, is looking to recruit a Senior Corporate Lawyer / Head of Corporate to head their corporate and banking team in Nicosia. The successful candidate will be reporting to the Managing Partner.
Responsibilities:
- Leading the Corporate Services and Banking Department.
- Handling the daily corporate and secretariat requests of our clients.
- Handling the incorporation, administration, and maintenance of limited liability companies as well as Board Meetings and Shareholders Meetings.
- Advising on all aspects of company law, including incorporations, restructurings, and corporate governance.
- Drafting and negotiating Share Purchase Agreements (SPAs), Shareholder Agreements, and other key transactional documentation.
- Preparing legal opinions on complex matters of company law.
- Drafting and reviewing constitutional documents (Memorandum, Articles of Association, and related governance instruments) and Minutes of Board.
- Conducting legal due diligence on corporate entities, prepare due diligence reports, and manage corporate compliance documentation.
- Ensuring full KYC and AML compliance of Law Firm in line with applicable regulatory requirements.
- Providing advice to our Clients in relation to shareholders’ relationships, directors’ duties, and company secretarial matters.
- Maintaining meticulous organization and documentation practices, ensuring accurate record-keeping and timely delivery of work.
Requirements:
- Bachelor’s degree in Law, Economics, Mathematics, Business, Finance, Accounting, Risk University degree in Law from a reputable University (Master’s degree in Corporate or Commercial Law preferred).
- At least 7 years of post-qualification experience in corporate and commercial law.
- In-depth knowledge of company law.
- Excellent drafting skills and meticulous attention to detail.
- Strong organizational, analytical, and problem-solving skills.
- Ability to manage multiple matters efficiently and work both independently and as part of a team.
- Fluency in Greek and English, with superior written and verbal communication skills.
- High degree of diligence, discretion, and professional integrity.
- Strong client management and interpersonal skills.
- Commitment to excellence, accountability, and continuous professional development.
Working Hours:
- The working hours are Monday – Friday, 09:00 – 18:00 with 1 hour lunch break.
- There is flexibility regarding starting times from 08:30 – 09:30 and finish work accordingly.
- Afternoon off on Fridays.
